Terms of Use

These Terms of Use constitute a binding agreement between you — whether in your personal capacity or on behalf of an institution or store — and BAYT ALALWAH LTD, which provides the Bayt Alalwah platform.

By accessing, registering on, or using any of the platform's services, you acknowledge that you have read and understood these Terms and agree to be bound by them and by all policies referenced in them.

These Terms apply to all of the services: the website, the institution dashboards, the mobile app, the marketplace, and the AI features. If you do not agree to them, you may not use the platform.

Wherever they appear in these Terms, the following terms have the meanings set out below:

• The Platform (or we): the Bayt Alalwah software platform and all of its services, operated by BAYT ALALWAH LTD.
• The Services: everything the platform makes available through the website, app, dashboards, marketplace, and AI features.
• User (or you): any person who accesses or uses the platform.
• Account: the record created for you upon registration that enables you to use the services.
• Institution: any private school, institute, or kindergarten registered on the platform.
• Student: a member of an institution enrolled for the purpose of study.
• Parent or Guardian: the parent or legal guardian.
• Teacher: a member of an institution's teaching staff.
• Store or Seller: the independent party that offers products for sale through the marketplace.
• Content: any data, text, images, or materials uploaded by a user, institution, or store.
• Subscription: the activation of the platform's services for an institution for a defined period, set manually.
• The Agreement: these Terms, the Privacy Policy, and any other referenced policies.

You must have the legal capacity required to enter into a binding agreement in order to use the platform.

Minors may not use the platform except through their parent/guardian or their institution and under their supervision; the parent/guardian or the institution is responsible for the minor's use of the services.

You agree to provide correct, accurate, and up-to-date information when registering and using the services, and you are responsible for complying with the applicable laws in your dealings with the platform.

Registration and sign-in are performed through your phone number and a one-time password (OTP) sent via WhatsApp or SMS.

You are responsible for keeping the means of access to your account confidential and for securing your device and phone number, and you bear responsibility for all activity that takes place through your account.

You must notify us immediately upon becoming aware of any unauthorized use of your account or any security breach.

We may temporarily suspend or restrict any account if we suspect activity that affects the security of the platform or its users.

The platform offers different types of accounts, each with different permissions and responsibilities:

• Students: to discover institutions, join them, and follow their academic affairs.
• Parents and guardians: to follow the children their institution has linked to them.
• Teachers: as members of an institution's teaching staff.
• Institution administrators and owners: to manage the institution's profile, subscription, and members through the dashboard.
• Store owners and sellers: to manage their store and list their products in the marketplace.
• Platform administrators: to manage the platform and review and activate institutions.

Parents, guardians and linked children

A parent or guardian can use the features related to a child only after the child's institution has linked them, and only within the permissions the platform supports for that relationship; the link gives no access to any other student. Much of the information shown about a child — such as attendance, homework, grades, timetables, and fees — is entered and managed by the child's institution, which is responsible for keeping it accurate.

You may use child-related features, and provide information about a child (for example in an admission application), only where you are authorized to do so, and you must make sure that information is accurate. How children's and students' information is handled is explained in the Privacy Policy.

Bayt Alalwah services are a set of integrated software tools, including:

• Discovering schools, institutes, and kindergartens and viewing their profiles.
• Dashboards through which institutions manage their profile, members, and subscription.
• The mobile app that lets students, parents, and teachers follow lessons, schedules, attendance, grades, and news.
• The marketplace.
• AI assistants.
• Notifications and alerts.

The services are provided on an evolving basis, and we may add, modify, or discontinue features from time to time. We do not guarantee that the service will be permanently available or uninterrupted.

Institutions apply to join the platform, and we review the application and activate the institution manually.

The institution is responsible for the accuracy and correctness of the data in its profile, and for conducting its activity lawfully and properly.

We may suspend an institution or deactivate it if it breaches these Terms or if its subscription expires.

Payments relating to the platform are made entirely offline. There is no online payment gateway on the platform, and we do not process payment cards or collect their data.

The platform administrator activates an institution's subscription and sets or extends its expiry date manually.

An institution's access to the services tied to a subscription ends when its term expires, until it is renewed.

The value and fees of a subscription are agreed separately, off-platform, and any taxes or fees are handled in accordance with the applicable laws.

Any refund matters are handled off-platform and in accordance with the agreement concluded with the institution.

The stores listed on the platform are independent sellers, and the platform acts as an intermediary and venue, not as the seller of the products.

Sellers bear full responsibility for their products, their listings, their pricing, their legality, and their delivery.

The buyer has a duty to review the product details before purchasing.

Offering any illegal or prohibited products through the marketplace is forbidden.

Disputes relating to orders arise primarily between the buyer and the seller, and the platform may remove any listing or store that breaches these Terms.

The AI features are tied to a subscription and are enabled by the platform administrator for each institution individually.

These features are provided on an as-is basis; their output may be inaccurate or incomplete, and it is not a substitute for the judgment of a teacher or of a legal, medical, or financial professional.

The user must verify important information before relying on it.

Misuse of these features is prohibited, including using them for illegal, harmful, or deceptive purposes or to attempt to extract other users' data, and usage limits may apply.

You retain ownership of the content you submit to the platform.

By submitting content, you grant the platform a limited licence to host, display, and process it solely for the purpose of operating the services.

You are responsible for the legality and accuracy of the content you publish, and you confirm that you hold the necessary rights to publish it.

We may remove any content that breaches these Terms or applicable laws.

You agree to use the platform lawfully, and you are prohibited from doing any of the following:

• Using the platform for any unlawful purpose.
• Harming or endangering minors in any way.
• Harassing or abusing others.
• Impersonating any individual or entity.
• Infringing the intellectual-property rights of others.
• Automatically extracting or copying data by unauthorized means (scraping).
• Reverse-engineering the platform or attempting to discover its source code.
• Attempting to bypass security measures or Row Level Security (RLS), or to access another tenant's data.
• Uploading malware or harmful files.
• Sending spam.
• Publishing false or misleading information.
• Reselling access to the services or sublicensing it without permission.
• Overloading or disrupting the platform.

The platform, its software, the Bayt Alalwah trademark, its logos, its design (in the navy and gold identity), and its content are owned by the platform or its licensors.

You are granted a limited, revocable, non-transferable licence to use the services in accordance with these Terms.

Our trademarks or content may not be used without our prior written permission.

Your use of the platform is also governed by the Privacy Policy, which explains how we collect, use, and protect your personal data.

Institutions are responsible for their members' data and the consents required to process it, including with respect to minors.

Some services may rely on third parties, such as the messaging and verification-code provider, the map providers, the independent sellers, and external links.

These parties are subject to their own terms, and we are not responsible for their practices or services.

We may modify, suspend, or discontinue any part of the services at any time, and the platform may be subject to maintenance or temporary interruption.

We do not guarantee that the service will be continuous or error-free.

We may amend these Terms from time to time, and we will announce material changes by appropriate means. Your continued use of the platform after they take effect constitutes acceptance of them.

We may suspend or terminate your access to the platform if you breach these Terms, for legal reasons, or upon non-payment or expiry of the subscription.

You may stop using the services or request the closure of your account at any time.

Upon termination or suspension of the account, your access to the services ends, while certain data is retained in accordance with the Privacy Policy and applicable laws.

The services are provided on an as-is and as-available basis, without any express or implied warranties.

We do not warrant the accuracy, availability, or fitness of the content for a particular purpose.

The platform does not warrant content published by institutions, institution data, seller listings, or AI output, and responsibility for them rests with the parties that create them.

To the maximum extent permitted by the applicable laws, the platform is not liable for any indirect, incidental, special, or consequential damages, for loss of data, or for the acts of institutions or sellers.

Our aggregate liability, where it arises, is subject to a maximum limit as permitted by law.

This clause reflects a fair allocation of risk between the parties.

You agree to indemnify and hold the platform harmless from any claims, losses, or damages arising out of your use of the services, your content, or your breach of these Terms or the applicable laws.

For institutions and sellers, this includes claims arising out of their activity and operations on the platform.

These Terms are interpreted and applied in accordance with the applicable laws.

The parties will first seek to resolve any dispute amicably and in good faith.

If an amicable resolution is not possible, either party may pursue the remedies available to it under the applicable laws.

A party wishing to raise a dispute agrees to notify the other party in writing before taking any action.

• Severability: if any clause of these Terms is found to be unenforceable, the remaining clauses remain in effect.
• Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and the platform.
• No waiver: our failure to exercise any right is not a waiver of it.
• Assignment: the platform may assign its rights and obligations; you may not do so without our consent.
• Force majeure: we are not liable for any delay or failure resulting from circumstances beyond our control.
• Notices: notices are sent using the contact details set out below.
• Language: in case of any discrepancy between the Arabic and English versions of these Terms, the Arabic version prevails.
